TMD Holdings re-classifies shares to put shareholders on level playing field
B P Collins LLP, a leading Thames Valley based law firm, has recently acted for TMD Holdings Limited, a world leader in the manufacturing of microwave tubes, high voltage power supplies, and transmitters and other Laboratory applications.
TMD, which counts Coca Cola, Disney and Jack Daniels as its clients, enlisted the help of B P Collins LLP in relation to the reclassification of its share capital and adoption of new articles of association.
TMD chose to incorporate its previous four-tiered classification of shares into one class of ordinary shares in order to ensure that all shareholders had the same rights and to simplify the share structure of its company. This process involved the adoption of new articles of association.
As a long-standing client of B P Collins LLP, TMD Holdings often utilises the Buckinghamshire based law firm to advise in both corporate and commercial matters, therefore the team was the natural selection for this process.
