B P Collins’ corporate and commercial team has recently advised on the successful charity merger between Scannappeal and Buckinghamshire Healthcare Charity.

Scannappeal merged with Buckinghamshire Healthcare Charity, the independent NHS charity (formerly Buckinghamshire Healthcare NHS Charitable Fund), combining the strengths and experience of both organisations. The matter is significant for the local community as the combined charity can deliver better outcomes for healthcare in Buckinghamshire by raising more funds and supporting a greater number of projects. This matter also provides further experience for the team working in the charity and non-profit sector.

B P Collins’ partner Simon Deans led the transaction supported by Alexander (Sasha) Martiyanov. The team advised Scannappeal’s trustees on the transaction structure, reviewed due diligence reports, negotiated the merger agreement and prepared ancillary documentation with a view to ensuring a smooth handover.

Keith Wilson, Chairman of Scannappeal comments:

We are incredibly grateful to the team at B P Collins for their expert guidance and support throughout the merger process. Their clear advice helped ensure a smooth transition and that we successfully met our merger date of 1 April. By bringing together Scannappeal and Buckinghamshire Healthcare Charity, we have created one stronger charity, enabling us to raise more funds, support more projects and make a greater difference for patients, staff and communities across Buckinghamshire.

Simon Deans, Senior Partner of B P Collins notes:

It has been a fantastic opportunity to support Scannappeal’s trustees on the merger and we are proud to have helped make it happen. Corporate social responsibility and having a positive impact on our community is central to B P Collins’ values – we look forward to seeing the new charity deliver better outcomes for healthcare in Buckinghamshire.
