B P Collins’ corporate & commercial team acted as legal advisers to the shareholders of a professional services group in the sale of a majority stake to an employee ownership trust (also known as an “EOT”). The transaction was led by partner David Smellie and supported by senior associate Beth Miel and solicitor Sasha Martiyanov. We worked closely with the sellers’ tax advisers to structure the sale. Our corporate team produced the full suite of legal documents and our private client team advised on the trust aspects.

The sale is part of the shareholders’ long-term plans for the sustainability and growth of the business and will allow employees to share in its success, as well as offering appealing tax benefits to both the sellers and employees of the group.
